Terms of Service

1. Acceptance & Definitions
By accessing or using Lotly (the "Service"), you agree to be bound by these Terms. The Service is operated by LOTLY PTY LTD (ABN 39 694 638 607, ACN 694 638 607). You must be at least 18 years old to use the Service. Key defined terms include: "Account" (your registered account), "AI Output" (content generated by AI models), "Output" (any data or analysis from the Service), "Your Data" (your notes, attachments, favourites, pipeline items, tags, and contact form submissions), "Fees" (subscription fees), "Subscription Plan" (your selected tier).

2. Nature of the Service
The Service provides data-driven insights, analytics, tools and informational content relating to real estate markets, properties and associated trends. The Service is a decision-support tool only and is not intended to replace independent judgement or professional advice. All outputs are general in nature and do not take into account your personal objectives, financial situation or needs.

3. No Financial or Professional Advice
The Service does not provide financial product advice within the meaning of the Corporations Act 2001 (Cth). Nothing in the Service constitutes, or should be relied upon as: financial or investment advice, credit advice, legal or tax advice, property valuation or appraisal advice, town planning advice, engineering advice, due diligence advice, or acquisition advice. You must obtain independent professional advice appropriate to your circumstances before making any financial, investment or property decision.

4. AI-Generated Content
Certain features use third-party AI models (including Google Gemini) to generate AI Outputs. AI Outputs are experimental and may contain significant errors, including fabricated information, incorrect figures, and unsupported assumptions. AI Outputs do not constitute property valuations, appraisals, or professional opinions. When you use AI features, property data and any context you provide may be processed by third-party AI services located outside Australia. Do not include personal financial information in AI inputs. We accept no liability for any loss arising from reliance on AI Outputs.

5. User Responsibility & No Reliance
You are solely responsible for any decisions you make based on the Service. You will not rely solely on the Service for financial or investment decisions. All use is at your own risk.

6. Account Security
You must not share your login credentials. You are responsible for all activity under your Account. Notify us immediately at support@lotly.com.au of any unauthorised access.

7. Your Data & Intellectual Property
You own your notes, attachments, favourites lists, pipeline items, tags, and messages ("Your Data"). You grant us a licence to use Your Data solely to provide and improve the Service. All platform data, analytics, Outputs, AI Outputs, scores, metrics, algorithms, models, and the Service interface remain our intellectual property.

8. Data Sources & Accuracy
Data from third-party sources may be delayed, incomplete, or inaccurate. We do not warrant accuracy, completeness, or suitability. You must independently verify all information.

9. Planning & Regulatory Disclaimer
Planning controls, zoning, overlays, hazards, catchments and regulatory data are complex and subject to change. Verify all planning information with relevant authorities before acting on it.

10. Beta Features
Beta features may be incomplete, unstable, or produce inaccurate results. Use is at your own risk.

11. Intellectual Property & Anti-Scraping
All rights in the Service are owned by us or our licensors. You must not copy, reverse engineer, scrape, or use the Service to build a competing product.

12. Fees, Billing & Subscriptions
Fees are payable per your Subscription Plan (all prices AUD, no GST applies). Subscriptions renew automatically via Stripe. Cancel anytime through the Manage Billing portal or by contacting support@lotly.com.au. Cancellation takes effect at the end of your billing period. No refund for unused portions except as required by Australian Consumer Law. We may modify pricing with 30 days' notice.

13. Team Features & Agent Client Data
If your plan includes team/sharing features, the account holder is responsible for team members' compliance. Shared data is subject to these Terms. Team members must agree independently. If you are a real estate agent or professional using the Service on behalf of a client, you warrant that you have obtained all necessary consents from your client to input their data into the Service.

14. Limitation of Liability
To the maximum extent permitted by law, we exclude liability for indirect, incidental, consequential, special, or economic loss, including loss of profits, revenue, opportunity, goodwill, data, or regulatory fines. Our total liability is limited to: (a) resupplying the Service; or (b) Fees paid in the 12 months preceding the claim. Nothing excludes rights under the Australian Consumer Law that cannot be excluded.

15. Indemnity
You indemnify us against claims arising from your use of the Service, reliance on Outputs, or breach of these Terms.

16. Force Majeure
We are not liable for delays caused by events beyond our reasonable control (natural disaster, pandemic, government action, provider outage, etc.).

17. Third-Party Licence Passthrough
Some data is subject to third-party licence terms (see Data Credits). You agree to comply with those terms. Third-party licences prevail in case of inconsistency.

18. Termination & Data
We may suspend access for breach. On termination, Your Data is deleted within 60 days. Contact form submissions may be retained for 12 months. Anonymised data may be retained indefinitely.

19. General
(a) Severability: Invalid provisions are modified to the minimum extent necessary. (b) Entire Agreement: These Terms, Privacy Policy, and Disclaimer constitute the entire agreement. (c) No Waiver: Failure to enforce does not waive rights. (d) Assignment: You may not assign without consent; we may assign on merger or acquisition. (e) Governing Law: Laws of New South Wales, Australia.
